Agonova, Inc. (“Agonova,” “we,” “us,” or “our”) welcomes you. We invite you to access and use our websites (collectively, the “Websites”). Agonova is a farming-focused digital company that helps farmers and clients succeed doing what they love. We provide custom-built solutions for farmers and clients.

Our approach begins by understanding each farmer’s or client’s unique goals, pain points, behaviors, motivations, and ambitions. We tailor our solutions to these specific needs—streamlining complex processes, automating manual tasks, and delivering real-time analytics—so farmers and clients can make smarter decisions, reduce costs, and increase productivity. Our solutions improve daily operations and support long-term strategic growth, ensuring farms thrive in today’s ever-changing industry.

We believe in building trusted partnerships. Instead of a one-size-fits-all approach, we collaborate closely with each farm to adapt tools and strategies to its goals and resources. This reduces inefficiencies, boosts productivity, and helps our clients stay competitive.

We provide visitors to our Websites (“Visitors”) access subject to the following Terms of Use, which we may update without notice. By browsing or using the Websites, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use and our Privacy Policy (collectively, this “Agreement”). If you do not agree, please do not use the Websites.

Any user who registers with us (a “Registered User”) and wishes to purchase or access a product or service through our Websites also agrees to our Terms and Conditions of Purchase. In case of any conflict, the Terms and Conditions of Purchase will take precedence.

Fees and Payment

If you make a purchase on the Websites, you agree to pay all applicable fees and taxes. Your payment method will be charged for these fees. You must keep your billing information accurate and up to date. If your credit card expires, you authorize Agonova to obtain updated information to process payment. If payment fails, you agree to pay all amounts due and collection costs, including legal fees. You may be subject to foreign transaction fees depending on your bank or issuer.

Intellectual Property

All content on the Websites (“Content”)—including text, graphics, images, videos, and software—belongs to Agonova or third parties and is protected by intellectual property laws.

• Visitors may view publicly available Content for personal, non-commercial use.
• Registered Users who purchase products or services may download and view the purchased Content for personal, non-commercial use.

No other use is permitted without Agonova’s written consent. You may not modify, reproduce, display, distribute, or create derivative works from the Content for commercial or public purposes. Unauthorized use ends your permission to use the Websites, and you must destroy any copies of the Content.

Unsolicited Submissions and Communications

Please do not send unsolicited ideas, suggestions, or creative proposals (“Unsolicited Submissions”). Agonova’s policy is to delete them unread to avoid misunderstandings. If you still send them, you acknowledge:

• No confidential or fiduciary relationship is created.
• Material Agonova develops or obtains from third parties may be similar to what you submit, and no compensation is owed to you.
• Any feedback or questions you send may be used or redistributed without acknowledgment or compensation.

No Warranties; Limitations of Liability

The Websites and their Content are provided “as is” and “as available,” without warranties of any kind. Agonova disclaims:

• Warranties of title, merchantability, fitness for a particular purpose, or non-infringement.
• Liability for errors, omissions, or interruptions.

Representations, Warranties, and Indemnification

a) Representations and Warranties

If you are a Registered User, you represent:

• You have rights to all content you submit.
• Your content does not violate or infringe on third-party rights.
• Your content complies with this Agreement.

b) Indemnification

You agree to defend, indemnify, and hold Agonova harmless from any claims arising from:

• Your breach of this Agreement.
• Your misuse of the Websites or Content.
• Your violation of any third-party rights.

Compliance with Applicable Laws

The Websites are based in Australia. Agonova makes no claim about suitability or legality outside Australia. If you access the Websites from outside Australia, you do so at your own risk and must ensure compliance with the laws of your jurisdiction.

Termination of the Agreement

We reserve the right to restrict, suspend, or terminate your use of the Websites at any time. We can also modify or discontinue any part of the Websites. Sections regarding Fees, Intellectual Property, Registered User Content, Indemnification, and Arbitration will survive termination.

Digital Millennium Copyright Act (DMCA)

Agonova respects intellectual property rights. If you believe content on the Websites violates your copyright, please contact us.

Include:

• Identification of the copyrighted work.
• Location of the infringing work on the Websites.
• Your contact information.
• A statement of good-faith belief that the use is unauthorized.
• A statement under penalty of perjury of the accuracy of your claim.
• Your signature (physical or electronic).

Binding Arbitration

Either party may elect to resolve disputes exclusively by binding arbitration under the applicable Australian arbitration laws.

• No Court Trial: Arbitration replaces the right to go to court, except for small claims that fall within the jurisdiction of the relevant Australian small claims tribunal or court.
• Administration: Arbitration will be conducted in accordance with the rules of the Australian Centre for International Commercial Arbitration (ACICA) or a similar arbitration body, as agreed by the parties. Each party is responsible for their own arbitration costs, including administrative and arbitrator fees.
• Location: If conducted in person, arbitration will occur in Western Australia.
• Equitable Relief: Agonova retains the right to seek injunctive relief in a court of appropriate jurisdiction in order to protect intellectual property or other proprietary interests.

Class Action Waiver

You agree any arbitration or proceeding is on an individual basis. There is no right to group or class actions, or to act in a representative capacity.

Equitable Relief

You acknowledge a breach of this Agreement concerning intellectual property could cause irreparable harm. Agonova may seek an injunction or other equitable relief in a court of competent jurisdiction without waiving other remedies.

Miscellaneous

• No Waiver: Failure to enforce any part of this Agreement is not a waiver.
• Entire Agreement: This and our Privacy Policy form the entire Agreement.
• Headings: Section headings have no legal effect.
• Assignment: This Agreement benefits our successors and assigns.
